We are looking for a highly qualified Legal Counsel to oversee the legal aspects of our business. You will safeguard our rputation by guaranteeing that the company strictly follows law guidelines and give legal advice to management about all relevant issues.

The successful candidate will effectively ensure legal conformity and minimize probability of exposure.

Responsibilities

• Give accurate and timely counsel to executives in a variety of legal topics (corporarte, financing, environmental,  regulatory, contracts, purchase litigation  etc.)
• In charge of corporate secretariat of the Peruvian affiliates  (organisation of the General Meeting, drafting of the minutes of the General Meeting, approval of the accounts, record-keeping, incorporation of companies, and amendment of the Articles of Association) in collaboration with the local support departments and the headquarters.
• Manage formalities related to corporate law (legal notices, amendments to the registry, etc.)
• The Legal Counsel is responsible for legal matters of bid activities and projects in execution. The legal counsel will handle bids and projects with a medium to large size and with medium complexity (incl. consortia set-ups, difficult terms & conditions).
• Verify and validate customer and supplier contracts concerning the general terms and conditions of purchase and sale.
• Collaborate with management to devise efficient defence strategies
• Specify internal governance policies and regularly monitor compliance with the headquarter policies
• Research and evaluate different risk factors regarding business decisions and operations
• Apply effective risk management techniques and offer proactive advise on a wide scope of legal matters
• Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust
• Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights
• Deal with complex matters with multiple local stakeholders and at a group level
• Provide clarification on legal language or specifications to everyone in the organization
• Conduct your work with integrity and responsibility
• Maintain current knowledge of alterations in legislation
• Monitoring external law firms  

Requirements

• Proven experience as a legal counsel in business environment (6 -8 years PQE)
• Excellent knowledge and understanding of corporate law and procedures
• Full comprehension of the influences of the external environment of a corporation
• Demonstrated ability to create legal defensive or proactive strategies
• High degree of professional ethics and integrity
• Sound judgement and ability to analyse situations and information
• Outstanding communication skills
• University  Law degree
• MBA will be considered an advantage;
• Superior written and verbal communication and interpersonal skills in  English. French as Second Language, would be an add-on
